CONSTITUION

Chapter 1. General rule

Article 1. Name

  • 1.
    This charity is called GOOD SHEPHERD SARANG MISSION ASSOCIATION (GSSMA).

Article 2. Location

  • 1.
    Head office located in Ontario Canada.

Chapter 2. Business

Article 3. We will do following activities;

  • 1.
    Find young good shepherds (young good christian students) and support them with scholarship and special education.
  • 2.
    Re-charge with special education and program good shepherds (missionaries ministers) to be more active.
  • 3.
    Build same GSSMA in other cities and work together.
  • 4.
    Build same GSSMA in other countries all over the world.
  • 5.
    Cooperate all GSSMA in the world, have world conference for our students,missionaries and workers.
  • 6.
    Do legal fund raising activities once or more a year.

Chapter 3. Members

Article 4. We will have members as followings:

  • 1.
    Minister members: Acting or retired ministers who applied for membership and pay monthly membership fees.
  • 2.
    Missionary members: Acting or retired missionaries who applied for membership and pay monthly membership fees.
  • 3.
    General members: Any person who is over 18 years old and applied for membership and pay monthly membership fees.
  • 4.
    Prayer membership: Any person who applied for membership and pray for this mission work.

Article 5. Members prayer meeting:

  • 1.
    Officers prayer meeting: must have prayer meeting once a month.
  • 2.
    Board of directors’ prayer meeting: must have once quarterly.
  • 3.
    All members prayer meeting: All members together must have prayer meeting quarterly.

Chapter 4. Finance

Our acting fund will come from member fee, donation, offering, fund raising activities and grants.

Article 7 All fund will be deposit to head office bank account.

Article 8 Annual tax return receipts are issued to all donors.

Article 9 Annual professional auditing will be done

  • 1.
    Board member will choose professional auditor and must be approved at Annual General Meeting, (AGM)
  • 2.
    Auditor’s report must be presented at AGM and published in local newspapers and made available on our website.
  • 3.
    Check signing officers are the chairman of board, president and treasurer, two of different signing officers’ signatures is required on each

Chapter 5 Officers and Committees

Article 10 Following officers will work for one years or more by approval.

  • 1.
    President 1: Representing our organisation, elected at AGM with majority vote.
  • 2.
    Vice president 1: Assist president and acting as president in case of his absence elected at AGM with majority vote.
  • 3.
    General manager 1: manage all office work, appointed by president group.
  • 4.
    Secretary 1: doing all office work and keep documents, appointed by president group.
  • 5.
    Treasurer 1: doing all account and financial work, appointed by president group.
  • 6.
    Executive meeting: they will meet regularly under direction of president.
  • 7.
    Officers works the business and policies determined by board.
  • 8.
    We will have following committees for our business
    • 1)
      Scholarship committee: find good students and support the with scholarship and with special programs
    • 2)
      Ministry committee: Recharging ministers with special program, seminars
    • 3)
      Missionary committee: support missionaries, prepare world conference.
  • 9.
    We can have special advisors for our mission.

Chapter 6 Board of Directors

Article 11 Organization of Board of directors

  • 1.
    Offices of board will be one Chairman, one general manager and two auditors
  • 2.
    Chairperson will be elected at board of directors meeting with 2/3 favour vote.
  • 3.
    General manager and auditors will be approved at Board meeting with chairperson’s recommendation
  • 4.
    All GSSMA presidents will be automatically member of board.
  • 5.
    Numbers of board will be decided at AGM with recommendation of executive meeting.

Article 12 Duty of Board of Directors

  • 1.
    Policy or business plan will be established through annual general meeting of Board
  • 2.
    Elect president and vice president and approve other officers recommended by president group.
  • 3.
    All fund will be prepared to carry out our mission.

Article 13 Regular Board meeting will be held quarterly and other meeting will be held when It needs.

Article 14 All board meeting to be open requires at least 50%-member attend, and decision will only be made with at least 50% of attendance.

Chapter 7 Meeting

Article 15. Annual General Meeting (AGM)

  • 1.
    AGM will held every year. Inform to all regular members 14 days before, meeting time, place and details.
  • 2.
    1/3 member must attend
  • 3.
    All regular member will have one vote right.
  • 4.
    Auditor report, treasurer report, business report
  • 5.
    Monthly member fee will be decided.
  • 6.
    Changing constitution must be agreed by 2/3 attendance.

Article 16 Temporary general meeting

  • 1.
    When majority member asked to have meeting, inform to all regular member 14 days before, time place and purpose of meeting.
  • 2.
    This meeting can do business as AGM.

Chapter 8 Supplementary Provision

Article 17. The matter not mentioned on this constitution, Board of Director will make decision.

Article 18. We keep all bible principle and teaching and CRA regulation.

Article 19. After approved by AGM, this constitution will be forced right away.
